Caixa Seguridade is a company created with the objective of consolidating the interests of Caixa Econômica Federal (“CAIXA”) in activities related to the insurance industry: insurance, open pension, premium bonds, credit letter, assistance and health insurance, dental plans and insurance and insurance brokerage. The Company also has the right, granted by CAIXA, to explore its distribution network and its brand.
Caixa Seguradora
Caixa Seguradora represents the partnership between Caixa Seguridade and the French CNP for the exploitation of insurance products at the CAIXA distribution network sold until 2021. Controlled by CNP, which has a majority stake of 51.75%, and an affiliate of Caixa Seguridade, with a 48.25% stake, this partnership is organized through CNP Seguros Holding S.A. (CNP Seguros Holding), a joint stock company whose purpose is to participate in other companies, national or foreign. It will use the Caixa Seguradora brand while managing the run-off portfolio of products sold at the CAIXA counter during the term of the 20-year partnership.
CNP Seguros Holding currently controls the following companies, which operate in different insurance lines, according to their specialization:
- – Caixa Seguradora S.A., a wholly owned subsidiary of CNP Participações Securitárias Brasil Ltda, started its activities on January 22, 1973 and operates in the operation of basic and life insurance. Caixa Seguridade’s indirect stake in Caixa Seguradora’s capital is 48.25%.
- – Youse Seguradora S.A (Youse), a wholly owned subsidiary of CNP Participações Securitárias Brasil Ltda, was incorporated on May 20, 2016 and its purpose is to sell insurance on a digital platform. Caixa Seguridade’s indirect stake in Youse’s capital is 48.25%.
- – Caixa Seguradora Especializada em Saúde S.A. (“CAIXA Saúde”) operates as an insurance company specializing in health insurance. Caixa Seguridade’s indirect stake in the Company’s capital is 48.25%.
- – Wiz Soluções e Corretagem de Seguros S.A. (Wiz), a publicly-held company that develops and implements solutions to boost business, combining financial and insurance services with customer needs, in which Caixa Seguridade holds an indirect stake of 12.06%. Wiz signed an agreement with Caixa Seguridade for the transition period for transferring brokerage activities to Caixa Seguridade’s own brokerage and for companies selected in the competitive process as co-brokers to operate in the Company’s lines of business.
Caixa Holding Securitária
A wholly-owned subsidiary of CAIXA Seguridade, established on May 21st, 2015 with the corporate purpose of participating in companies authorized to operate by the Superintendence of Private Insurance (SUSEP).
XS3 Seguros S.A. (“Caixa Residencial”): Company incorporated on August 19, 2020, governed by the Shareholder Agreement entered into between Caixa Holding Securitária S.A. and Tokio Marine Seguradora S.A. Caixa Residencial is engaged in the distribution, disclosure, offer, sale and post-sale of housing and residential insurance products developed or that may be developed by the Company. Caixa Seguridade’s indirect stake in the Company’s capital is 75% of the total capital.
XS4 Capitalização S.A. (“Caixa Capitalização”): Company incorporated on August 19, 2020 governed by the Shareholder Agreement entered into between Caixa Holding Securitária S.A and Icatu Seguridade S.A. Caixa Capitalização is engaged in the distribution, disclosure, offer, sale and post-sale of capitalization products of any type developed or that may be developed by the Company. Caixa Seguridade’s indirect stake in the Company’s capital is 75% of the total capital.
Too Seguros, company governed by the Shareholder Agreement entered into between Caixa Holding Securitária and BTG Pactual Holding de Seguros Ltda, whose corporate purpose is: (a) personal and damage insurance operations; and (b) participation as a shareholder or partner in other companies or ventures, except for an insurance broker that sells its products to individuals and legal entities in Banco PAN’s distribution network and partners. Caixa Seguridade’s indirect stake in the Company’s capital is 49%.
PAN Corretora de Seguros Ltda., governed by the Articles of Incorporation between Caixa Holding Securitária S.A. and Banco BTG Pactual S.A., it provides brokerage services for Too Seguros products and uses Banco PAN’s distribution network and its partner channels to sell insurance products. Caixa Seguridade’s indirect stake in the Company’s capital is 49%.
Holding XS1 S.A.
Incorporated on August 17, 2020, governed by the Shareholder Agreement entered into between Caixa Seguridade, CNP Assurances Participações Ltda, CNP Assurances Brasil Holding Ltda and CNP Assurances SA, which together hold 51% of the company’s common shares. object to participation in insurance companies and open private pension entities, authorized to operate by the Superintendency of Private Insurance – SUSEP. Caixa Seguridade’s indirect stake in the Company’s capital is 60% of the total capital.
It has two operating companies, wholly-owned subsidiaries, which operate in the Life, Credit life and Pension segments:
- – Caixa Vida e Previdência S.A. (“Caixa Vida e Previdência”) sells supplementary pension products, having started its activities on 03/14/2000, and manages the run-off portfolio of Life and Credit Life products;
- – XS2 Vida & Previdência S.A. (“Caixa Vida e Previdência”) responsible for the sale of Life and Credit life products, starting operations on January 4, 2021.
XS5 Administradora de Consórcios S.A.
Caixa Consórcios, incorporated on December 3, 2020, governed by the Shareholder Agreement entered into between Caixa Seguridade and CNP Assurances Participações Ltda, is engaged in managing a group of Credit Letter in accordance with current legislation. Caixa Seguridade’s stake in the Company’s capital is 75% of the total capital.
XS6 Assistência S.A.
Caixa Assistencia was incorporated on October 23, 2020 and is governed by the Shareholders’ Agreement entered into between Caixa Seguridade and USS Soluções Gerenciadas SA Its corporate purpose is (i) the distribution, disclosure, offer, sale and after-sales of services of assistance, including for insurance companies, capitalization companies, premium bonds administrators, specialized health insurance companies and health care insurance operators, (ii) the provision of intermediation services for assistance services, (iii) technical advice in general, and (iv) equity interest in other companies. Caixa Seguridade’s stake in the Company’s capital is 75% of the total capital.
Caixa Seguridade Corretagem e Administração de Seguros S.A.
Caixa Corretora is a wholly owned subsidiary of Caixa Seguridade and is engaged in: (i) holding interests in other companies, domestic or foreign; (ii) advisory and consultancy in the insurance field and; (iii) insurance brokerage and administration, in all the modalities allowed by current legislation, open supplementary pension plans, premium bonds and other brokerage resulting from insurance sold over the CAIXA distribution network or extra CAIXA distribution network.
